FRIENDSHIP QUILTERS OF SOUTHERN CHESTER COUNTY BYLAWS

                                                    
Article I	NAME
	This guild shall be known as the Friendship Quilters of Southern Chester County, hereafter referred to as the “Guild.”

Article II	PURPOSE
	Section 1 – The purposes of this Guild shall be:
                                     A.  To promote cooperation and exchange of ideas among those persons interested in quilts and/or engaged in the practice of quilting.
                                     B.  To further the education and skill levels of the members of this Guild.
                                     C.  To preserve the heritage of quilt making and promote quilt related activities.
                                     D.  To provide outreach services for the community.
	Section 2 – This Guild is not organized for personal profit.  No part of the Guild funds shall benefit any Member of the Guild.
	Section 3 - In the event of the dissolution of the Guild, all liabilities shall be paid, satisfied and discharged, or adequate provisions made therefore. 
		 Any remaining funds shall be given to a non-profit organization as determined by the majority of the remaining Members. This clause is unalterable.

Article III	MEMBERSHIP
	Section 1 – Any person shall be declared a Member in good standing of the Guild upon submission of an application and payment of annual dues.   
	Section 2 – The membership year shall be from September 1 to August 31 and all dues for returning members are due at the first meeting of the 
		    Guild’s membership year and shall not be prorated for any reason.
	Section 3 – Any person may attend two meetings of the Guild per year as a guest; however, further attendance requires application for membership 
		    and payment of pro-rated annual dues.  
	Section 4 – Each Member present at a meeting is entitled to one vote on each matter submitted to the Members for a vote.
	Section 5 – The amount of annual dues shall be determined by a recommendation of the Officers as needed, subject to a vote of the Members at a regular meeting.

Article IV	OFFICERS
	Section 1 – Any person who is a Member in good standing is eligible to become an Officer or Committee Member.
	Section 2 – The elected officers of the Guild shall be President, Vice President, Secretary and Treasurer.
	Section 3 – All Officers’ terms shall be for one year, however, Officers may be reelected to succeeding terms.

Article V	DUTIES OF OFFICERS
	Section 1 – The President Shall:
		A.  Preside over the Guild meetings.
		B.  Appoint Committee Members as needed.
		C.  Be responsible for general management of the Guild.  
		D.  Meet during the summer with other Officers to plan the Guild’s next membership year.
		E.  Appoint a replacement Officer for any office that becomes vacant for any reason prior to an election.
	Section 2 – The Vice President shall:
		A.  Perform the duties of the president in his/her absence.
		B.  Meet during the summer with other Officers to plan the Guild’s next membership year. 
	Section 3 – The Secretary shall:
		A.  Record minutes of the Guild meetings and send a copy of said Minutes to the Newsletter Chairperson prior to submission deadlines.
		B.  Conduct general business correspondence duties of the Guild.  
		C.  Maintain an accurate Membership Roster and make same available to the Members as appropriate and provide updates to the Newsletter Chairperson.
		D.   Meet during the summer with other Officers to plan the Guild’s next membership year.
	Section 4 – The Treasurer shall:
		A.  Be responsible for the Guild’s funds.
		B.  Keep an accurate record of all income and expenses of the Guild and report all activity to the Members; and present a copy of said report to the 
		      Secretary. 
		C.  Meet during the summer with other Officers to plan the Guild’s next membership year.

Article VI	COMMITTEES
	Section 1 – Sunshine: The Sunshine Committee Chairperson will coordinate the efforts of this Committee to send baskets to Members of the Guild when they 
		have been hospitalized overnight and send such correspondence of good will on behalf of the Guild.
	Section 2 – Nomination: The Nomination Committee will be appointed by the President at the February meeting and will consist of not less than two Members
 		of the Guild.  The Committee will find Members in good standing that are willing to fill the Guild offices of President, Vice-President, Secretary and 
		Treasurer and nominate such members at the April meeting.
	Section 3 – Historian: The Historian Committee Chairperson is responsible for coordinating the efforts of the committee to document all programs, workshops, 
		raffle quilts, and other Guild events either in writing and/or photos and shall keep this information in an album, scrapbook or binder in chronological order.  
	Section 4 – Activities: The Activities Committee Chairperson will coordinate the efforts of this committee and be responsible for all extra curricular activities for 
		the guild including but not limited to retreats, Guild trips to quilt shows and other events. The Activities Chairperson will further be required to meet during 
		the summer with the Officers to plan the Guild’s next membership year.
	Section 5 – Membership: The Membership Committee Chairperson will be responsible for coordinating the efforts of this committee to:
		A.  Welcome new Members and guests.
		B.  Distribute Guild information to new Members and provide aida cloth for name tags if requested by a new Member.
		C.  Make sure leaves are added to the banner by new Members.  
		D.  Be the contact person through the Guild’s email address and manage said email.
	Section 6 – Bylaws: The Bylaws Committee Chairperson is responsible for coordinating the efforts of this Committee to review these Bylaws at least every five 
		(5) years and make recommendations for changes as appropriate.  All proposed amendments to the Bylaws must be read at a Guild meeting and 
		published in the newsletter before a vote is taken at the next scheduled Guild meeting and passage will be by majority of the Members present.  
	Section 7 – Newsletter:  The Newsletter Chairperson will be responsible for publication of an informative, monthly newsletter to be sent to the Members of the 
		Guild September through June with the option of sending an extra edition during the summer months.
	Section 8 – Quilt Show:  The Chairperson for this committee shall be responsible for coordinating the efforts of this committee to find volunteers to hold a quilt 
		show for the Guild.
	Section 9 – Web Site: The Chairperson for this committee shall be responsible for maintaining current information on the Guild’s website.

Article VII	MEETINGS
	Section 1 – The Guild shall hold one regular meeting, each month September through June, generally the fourth Monday of the month or as announced in 
	advance to the Members, published in the newsletter and/or published on the Guild’s website.
	Section 2 – A regularly scheduled meeting will be cancelled if the Oxford Area School District (“OASD”) is closed due to inclement weather for any part of the 
		school day on the day of the meeting.  If a meeting is cancelled for any other reason notice of the cancellation will be posted on the Guild’s website 
		and every effort will be made to contact the Members by telephone.  

Article VIII	ELECTION OF OFFICERS
	Section 1 - The election for new Officers will take place at the May meeting.
	Section 2 – The term of the Officers will be from June 1 through May 31.
Article IX	AMENDMENTS
	Any Member in good standing may propose amendments to these Bylaws at any regularly scheduled meeting of the Guild.  All proposed changes to the Bylaws 
	must be read at a Guild meeting and published in the newsletter before a vote is taken at the next Guild meeting and passage will be by majority of the Members 
	present.
